Terms of Use

These Terms of Use (“Terms”) are a binding agreement between you and the PINGD developer(“we,” “us”) governing your use of the PINGDapp and related services (the “Service”). By downloading, accessing, or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent where you live, if higher) to use the Service. By using it you represent that you meet this requirement and that the information you provide is accurate.

2. License

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service for your own non-commercial purposes. You may not copy, modify, reverse-engineer, resell, scrape, or create derivative works of the Service except where such restriction is prohibited by law.

3. Acceptable use

You agree not to:

• harass, threaten, impersonate, or harm others, or post unlawful, hateful, or abusive content;
• use the Service to send spam or unwanted messages, or to violate anyone's privacy;
• attempt to gain unauthorized access, probe or disrupt the Service, bypass security or rate limits, or tamper with the app;
• use the Service for any illegal purpose or in violation of any applicable law.

We may remove content, suspend, or terminate access for anyone who breaks these rules, with or without notice.

4. Your content

You are solely responsible for the names, questions, locations, answers, and other content you submit. You retain ownership of your content, and you grant us a limited license to host, store, display, and transmit it as needed to operate the Service (for example, showing your answer to your crew). You represent that you have the right to share what you submit and that it does not violate these Terms or any law.

5. Subscriptions & payments

PINGD Premium is an auto-renewing subscription sold through the Apple App Store. Price and billing period are shown at purchase. Payment is charged to your Apple ID at confirmation. Unless cancelled, the subscription automatically renews at the then-current price, and your Apple ID is charged within 24 hours before the end of each period. You can manage or cancel anytime in your Apple ID settings; cancellation takes effect at the end of the current period. Except where required by law, payments are non-refundable; refund requests are handled by Apple.

6. Service availability

We may change, suspend, or discontinue any part of the Service at any time. Pings, notifications, and delivery depend on third parties (such as Apple and network providers) and are not guaranteed to be timely or delivered. PINGD is a coordination tool, not an emergency or safety service — do not rely on it for time-critical or safety-critical communication.

7. Offline activity, meetups & rides

PINGD helps people you already know coordinate plans. The plans themselves — gatherings, events, travel, and any rides or carpooling arranged between crew members — happen offline, between you and people you chose to join a crew with. We do not vet, verify, supervise, or insure any user, plan, venue, driver, or vehicle, and we are not a transportation carrier, ride-hailing service, event organizer, or travel provider. You are solely responsible for deciding whom to meet, where to go, whether to drive or accept a ride, and for complying with applicable laws (including traffic and licensing laws). TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INJURY, LOSS, DISPUTE, OR DAMAGE ARISING OUT OF IN-PERSON MEETUPS, TRANSPORTATION, OR OTHER OFFLINE ACTIVITY COORDINATED THROUGH THE SERVICE.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD $50. Some jurisdictions do not allow these limitations, so they may not fully apply to you.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of the Service, or your violation of these Terms or any law or third-party right.

11. Termination

You may stop using the Service and delete your account at any time from the You screen. We may suspend or terminate your access if you violate these Terms or to protect the Service or its users. Sections that by their nature should survive termination (including content license grants, disclaimers, liability limits, and indemnity) survive.

12. Apple App Store terms

These Terms are between you and us, not Apple, and Apple is not responsible for the Service or its content. To the extent the Service is obtained through Apple, you also agree to Apple's Licensed Application End User License Agreement. Apple has no obligation to provide support or maintenance for the Service. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

13. Governing law & disputes

These Terms are governed by the laws of the United States and the State of Virginia, without regard to conflict-of-law rules. You agree to resolve disputes in the state or federal courts located in Virginia, except where applicable law gives you the right to bring claims elsewhere or requires a different process. TO THE EXTENT PERMITTED BY LAW, YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL AND AGREE THAT DISPUTES WILL BE BROUGHT ONLY ON AN INDIVIDUAL BASIS — NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Nothing here limits any non-waivable statutory rights you have as a consumer.

14. Changes

We may update these Terms as the Service evolves. We'll update the effective date and, for material changes, give reasonable notice. Continuing to use PINGD after an update means you accept the revised Terms.
